These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Bimal Institute (“Institute,” “we,” “our,” or “us”), a proprietorship firm owned by Manish Bimal, having its registered address at G-1, Ground Floor, Plot no. 17, PU4, near Silvotel Hotel, Vijay Nagar, Indore, Madhya Pradesh. These Terms govern your access to and use of our website https://www.bimalinstitute.com/ , mobile applications, and any related products, features, content, courses, mentorship programs, live sessions and demonstrations, or other services made available by Bimal Institute (collectively, the “Platform” or “Services”).
Bimal Institute provides online and offline trading courses, mentorship programs, and educational materials relating to financial markets, including cryptocurrency and forex concepts. All services are strictly educational in nature. The Institute does not provide investment advice, trading recommendations, signals, or any form of advisory services. Any demonstrations, illustrations, or discussions conducted during courses or live sessions are solely for educational purposes and shall not be construed as financial or trading advice. Users may receive alerts, updates, or notifications as part of the learning experience; however, all trading decisions remain the sole responsibility of the User.
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and any other rules, policies, or guidelines issued by Bimal Institute from time to time. If you do not agree with these Terms, you must refrain from accessing or using the Platform or any Bimal Institute Services. Where you are using the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case the term “you” shall be construed to include such entity.
Bimal Institute reserves the right to amend, modify, or update these Terms at its sole discretion.
Your use of Bimal Institute Services is subject to your acceptance of and compliance with these Terms. To validly accept these Terms, you must have the legal capacity to do so, either on your own behalf or, if applicable, on behalf of a business or other legal entity. Individuals must be at least 18 years of age. In the case of a legal entity, it must be duly incorporated, validly existing, and in good standing under applicable laws, and the individual accepting these Terms must be authorized to bind such entity. By registering or using the Platform, you represent and warrant that:
Bimal Institute reserves the right, at its sole discretion, to refuse or suspend access to the Platform or Services for any person or entity that does not meet these eligibility requirements or is otherwise found to be in breach of these Terms.
2.1. Bimal Institute reserves the right, at its sole discretion, to amend, modify, update, or supplement these Terms, in whole or in part, at any time. Any such modifications will be published on the Platform and, where reasonably practicable, notified to Users in advance. You are advised to review these Terms periodically to stay informed of any changes.
2.2. Amended Terms will become effective upon the earlier of: (a) your acceptance of the amended Terms, or (b) your continued access to or use of the Platform following publication of the amended Terms.
2.3. No course of dealing, course of performance, or trade usage shall modify these Terms. Any attempted modification that does not comply with this section shall be void and of no effect. Electronic modifications shall be deemed valid if made through Bimal Institute’s designated electronic amendment process with appropriate authentication.
3.1. Education Services: Bimal Institute provides structured educational programs designed to enhance Users’ understanding of financial markets, with a primary focus on cryptocurrency (Virtual Digital Assets) and forex market concepts, subject at all times to the applicable legal and regulatory framework in India. The Services are intended to facilitate conceptual learning, analytical skill development, and general market awareness. Such educational programs may include, inter alia: (a) technical and fundamental analysis (in a conceptual and academic context); (b) risk management principles; (c) trading psychology and behavioural aspects; (d) general market dynamics and analytical frameworks; and (e) simulation-based learning, including paper trading and historical case studies. Educational content is delivered through various formats, including online courses, offline sessions, live webinars, recorded lectures, study materials, and interactive discussions. All Services are provided strictly for educational and informational purposes only. Nothing contained in the Services, Platform, or any communication shall be construed as investment advice; trading recommendations; research reports; financial guidance; or any form of inducement or solicitation to engage in trading or investment activities. The Institute does not guarantee any specific learning outcome, trading performance, or financial result, and any application of the knowledge gained through the Services is undertaken solely at the User’s discretion and risk. For the avoidance of doubt, the Institute does not facilitate, assist, or enable the purchase, sale, transfer, storage, or exchange of any Virtual Digital Assets or foreign exchange. The Platform shall not be used for onboarding onto exchanges, executing transactions, or facilitating fund transfers of any nature.
3.2. Demonstrations and Market Discussions: The Platform may include live sessions, demonstrations, market walkthroughs, chart analysis, or discussions relating to financial markets for educational purposes. All such sessions are conducted strictly on a demonstrative, observational, and academic basis,with the sole objective of explaining general market concepts, analytical approaches, and hypothetical or historical scenarios. Under no circumstances shall such sessions be construed as providing, and the Institute expressly disclaims providing, any form of investment advice, trading recommendations, or financial guidance. In particular, the Institute and its trainers shall not provide: (a) real-time trading instructions or execution guidance; (b) buy or sell recommendations, trading calls, or directional views; (c) entry or exit levels, stop-loss or target levels, or price-specific indications; or (d) any form of actionable, personalized, client-specific, or transaction-oriented advice. Users expressly acknowledge that any reference to market conditions, price movements, charts, strategies, or examples during such sessions is purely illustrative in nature and may be based on historical data, simulated scenarios, or generalized analysis. Such references are not intended to influence or determine any trading or investment decision and shall not be relied upon for executing trades or making financial decisions. The Institute does not facilitate, enable, or participate in the execution of any trades, nor does it link any educational content to real-time trading activity or market participation. Nothing in such sessions shall constitute an offer, invitation, solicitation, or inducement to engage in trading or investment activities. Users further acknowledge that, in accordance with applicable regulatory principles, any attempt to interpret educational content as advisory or actionable guidance is solely at the User’s own risk, and the Institute shall bear no responsibility or liability in this regard. The Institute reserves the right to monitor, record, review, and audit such sessions and related communications for compliance, and to take appropriate corrective measures, including restricting access, in cases of misuse or non-compliance.
3.3. Alerts, Notifications, and Communications: Users may receive alerts, notifications, updates, or communications through the Platform for the purpose of enhancing learning and general market awareness. Such communications are informational and educational in nature and do not constitute advice, recommendations, or trading signals. Users acknowledge that such communications may be subject to delays, inaccuracies, interruptions, or technical limitations, including those arising from third-party service providers. The Institute does not warrant the accuracy, completeness, or timeliness of such communications and shall not be liable for any reliance placed upon them or for any consequences arising therefrom.
3.4. Mentorship, Support, and User Interaction: The Institute may provide mentorship sessions, doubt-resolution support, or general interaction with Users as part of its educational offerings. All such interactions are limited strictly to conceptual clarification, academic guidance, and learning support. Under no circumstances shall such interactions include personalized investment advice; portfolio or asset allocation recommendations; trade-specific suggestions; or real-time market decision support. Users expressly acknowledge that no fiduciary, advisory, or client relationship is created between the User and the Institute, or any of its trainers, representatives, or personnel, by virtue of such interactions or participation in the Services. All trainers, mentors, and representatives of the Institute are contractually restricted from providing any form of investment advice, trading recommendations, or actionable market guidance. Any statements or conduct deviating from this restriction shall be deemed unauthorized, made in personal capacity, and outside the scope of the Institute’s Services.
3.5. Additional Services and Program Modifications: The Institute may, at its sole discretion, introduce, modify, suspend, or discontinue any services, programs, features, or content offered through the Platform. Access to such services may be subject to additional terms, conditions, disclosures, or eligibility requirements, which shall form an integral part of these Terms. Continued use of such services shall constitute acceptance of the applicable additional terms.
3.6. Regulatory Position and Compliance: The Institute operates strictly as an educational platform and does not undertake any activity requiring registration under the SEBI (Investment Advisers) Regulations, 2013. The Institute does not provide advisory services in relation to securities, forex, or cryptocurrency markets, nor does it facilitate trading, brokerage, execution of transactions, or act as an intermediary between Users and any financial or trading platform. Users acknowledge and agree that cryptocurrency markets operate in a partially regulated and evolving legal environment in India, and that forex trading is subject to restrictions under the Foreign Exchange Management Act, 1999 (FEMA) and applicable regulatory directions, including limitations relating to non-INR currency pairs and offshore platforms. Users are solely responsible for ensuring that their activities comply with all applicable laws and regulations. The Institute shall not be responsible or liable for any use of the knowledge, content, or materials provided through the Services in violation of such laws, or for any consequences arising from Users’ independent trading or investment decisions. Users further acknowledge that forex trading by Indian residents is subject to restrictions under applicable law, including the Foreign Exchange Management Act 1999 and directions issued by the Reserve Bank of India, and is generally limited to authorized channels and INR-based currency pairs. Participation in offshore or unauthorized forex platforms may constitute a violation of applicable law.
4.1. Availability of Services: Bimal Institute shall use commercially reasonable efforts to make the Platform and its Services available in accordance with these Terms. This includes providing access to educational programs, demonstrations, alerts, and related features described on the Platform. However, the Platform and Services are provided on an “as is” and “as available” basis, and the Institute does not warrant that access will be uninterrupted, timely, secure, or error-free. Access to the Platform may be suspended, restricted, or interrupted from time to time for maintenance, upgrades, system failures, or other operational or technical reasons, without prior notice and without liability.
4.2. Protection of User Data: Bimal Institute shall implement reasonable administrative, technical, and physical safeguards designed to protect the security, confidentiality, and integrity of personal information or data submitted by Users (“User Data”), in accordance with applicable laws. Such measures are intended to prevent unauthorized access, use, alteration, or disclosure of User Data; however, no method of transmission over the internet or electronic storage is completely secure, and the Institute does not guarantee absolute security. User Data may be accessed, used, or disclosed: (a) as necessary to provide, maintain, or improve the Services or address technical issues; (b) as required under applicable law or by competent regulatory or governmental authorities; or (c) with the User’s consent or as otherwise permitted under applicable law.
4.3. Data Incidents: In the event Bimal Institute becomes aware of any unauthorized or accidental access, acquisition, or disclosure of User Data (“Data Incident”), the Institute will, where feasible and legally permitted, notify affected Users promptly. Notification may include information regarding the nature of the incident, categories of data affected, potential consequences, and reasonable measures taken or proposed to mitigate the impact. For the avoidance of doubt, any such notification shall not be construed as an admission of fault or liability, and shall not create any additional obligations or liability beyond those expressly set out in these Terms.
4.4. Retention of User Data: Bimal Institute shall retain User Data only as necessary to provide the Services or as required by applicable laws and SEBI regulations. Upon termination of a User’s account or subscription, Bimal Institute may securely delete or anonymize User Data. The Institute has no obligation to retain User Data beyond the period reasonably necessary to provide Services or comply with legal or regulatory requirements.
4.5. Limitation of Responsibility: Users acknowledge that while Bimal Institute employs reasonable measures to maintain the availability and integrity of the Platform and to protect User Data, the Institute shall not be responsible or liable for any interruption, delay, defect, loss, or damage arising from circumstances beyond its reasonable control. Such circumstances include, without limitation: (a) failures or interruptions of internet connectivity or telecommunications networks; (b) acts or omissions of third-party service providers; (c) system failures, technical malfunctions, or cyber incidents; (d) unauthorized access despite reasonable safeguards; or (e) any misuse of the Platform by Users or third parties. To the maximum extent permitted by applicable law, the Institute disclaims all warranties, whether express or implied, relating to the availability, reliability, or security of the Platform and Services.
5.1. General Compliance: Users agree that their access to and use of the Bimal Institute Platform and Services shall be governed at all times by these Terms, the Privacy Policy, and all applicable laws and regulations in India. Permission to access and use the Platform is conditional, revocable, non-exclusive, non-transferable, and subject to the User’s continued compliance with these Terms. Users further agree that they shall use the Services strictly for educational purposes and shall not seek, solicit, or rely upon the Institute for any form of investment advice, trading recommendation, or financial guidance.
5.2. Acceptable Use: Users shall not, directly or indirectly: (a) use the Platform or Services for any purpose other than as expressly permitted under these Terms; (b) engage in any unlawful, fraudulent, abusive, harassing, defamatory, obscene, or otherwise objectionable conduct; (c) violate, or encourage the violation of, any applicable law, regulation, or third-party rights, including intellectual property and privacy rights; or (d) use the Platform in a manner that is misleading, deceptive, or inconsistent with the educational nature of the Services.
5.3. Security and Integrity: Users shall not: a) Circumvent, disable, interfere with, or attempt to bypass any security, access control, or technological safeguards of the Platform; b) Upload, transmit, or introduce viruses, malware, Trojan horses, or other harmful code; c) Attempt unauthorized access to the Platform, Services, User accounts, data, or systems of Bimal Institute or its partners; d) Engage in activities that disrupt or interfere with the performance, availability, or integrity of the Platform or Services.
5.4. Content and Conduct: Users shall not: a) Post, upload, or transmit any content that is false, misleading, offensive, defamatory, discriminatory, or otherwise unlawful; b) Share or disseminate trading calls, signals, or advisory content through the Platform or any associated communication channels; c) Distribute spam, unsolicited communications, promotional content, or other disruptive messages not authorized by the Institute; d) Infringe or violate intellectual property or proprietary rights of Bimal Institute or any third party; or e) Impersonate any individual or entity, or misrepresent their affiliation with any individual or entity.
5.5. Absolute Prohibition: Users shall not request, solicit, or attempt to obtain any form of trading advice, signals, recommendations, or actionable guidance from the Institute, its trainers, or through any communication channel. Any such conduct may result in immediate suspension.
5.6. Account Usage: Users shall: (a) provide accurate, current, and complete information during registration and maintain such information; (b) not create accounts using false identities, automated means, or for deceptive purposes; (c) maintain the confidentiality of login credentials and not share, transfer, or sell access to their account; (d) be solely responsible for all activities conducted through their account; and (e) promptly notify the Institute of any unauthorized access or suspected security breach.
5.7. Technical Restrictions: Users shall not: a) Copy, reproduce, modify, adapt, reverse engineer, decompile, or attempt to derive the source code of any part of the Platform; b) Remove, alter, or obscure any copyright, trademark, or proprietary notices; c) Use automated tools, bots, scrapers, or similar devices to access or extract data from the Platform; d) Reformat, frame, mirror, or replicate any portion of the Platform.
5.8. Compliance with Financial Regulations: Users acknowledge that cryptocurrency and forex markets are subject to legal and regulatory restrictions in India. Users agree that they shall not: (a) engage in or facilitate trading on unauthorized or offshore forex platforms; (b) participate in activities involving non-INR currency pairs in violation of applicable laws; (c) use the Platform to facilitate or promote crypto transactions, exchange onboarding, or fund transfers; or (d) undertake any activity that may be construed as regulated financial activity through the Platform. Users are solely responsible for ensuring compliance with applicable laws, including the Foreign Exchange Management Act, 1999 and any applicable tax or regulatory obligations.
5.9. Liability for Breach: Users acknowledge and agree that they shall be solely responsible for: (a) any breach of these Terms or applicable laws; (b) any content, communication, or activity undertaken through their account; and (c) all losses, damages, costs, or liabilities incurred by the Institute or any third party arising out of or in connection with such breach.
5.10. Enforcement Rights: Bimal Institute reserves the right, without limitation and without prior notice, to: (a) suspend, restrict, or terminate access to the Platform or Services; (b) remove, disable, or restrict access to any content; (c) investigate and take action against any suspected violation of these Terms; (d) cooperate with governmental authorities, regulators, or law enforcement agencies; and (e) seek any legal or equitable remedies available under applicable law.
6.1. Establishing an Account: (a) Access to certain features or Services may require a registered user account (“Account”). To create an Account, you must complete the prescribed registration process, provide accurate and complete information, meet the eligibility requirements under Clause 1, and agree to these Terms. (b) Each User may maintain only one Account. Where access is granted on behalf of an organization, such organization shall designate authorized Users, and shall remain responsible for all acts and omissions of such Users. (c) Bimal Institute shall be entitled to treat all actions performed through an Account as authorized. The Institute may, at its discretion, request verification of authority and suspend or restrict access where such authority is in doubt.
6.2. Account Security: You are solely responsible for safeguarding your Account credentials and for all activities carried out under your Account. You shall promptly notify Bimal Institute of any unauthorized access or security breach. The Institute shall not be liable for any loss or damage arising from your failure to maintain the security of your Account or from any unauthorized use thereof.
6.3. Information from Unregistered Users: (a) The Platform may permit limited access without full registration (“Unregistered Users”), in which case certain information may be collected. (b) Users shall ensure that all information provided is accurate and complete. By submitting such information, Users consent to its collection and use in accordance with applicable law and the Privacy Policy, including for service delivery, communication, and compliance purposes. (c) Bimal Institute reserves the right to restrict or deny access where information is false, misleading, or incomplete.
6.4. Suspension and Termination: Bimal Institute may, at its sole discretion and without prior notice, suspend or terminate any Account or access to the Platform where: (a) these Terms are breached; (b) continued access poses a legal, regulatory, or security risk; or (c) required by applicable law or authority. Such action shall not prejudice any other rights or remedies available to Bimal Institute.
7.1. Grant of License: Subject to your compliance with these Terms, payment of applicable fees, and continued adherence to Bimal Institute’s policies, the Institute grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform and Services, including its website, applications, and educational content, strictly for your personal, non-commercial, and educational use in accordance with these Terms.
7.2. Scope and Restrictions: Your use of the Platform and Services is subject to the following limitations: (a) Access Restrictions: Access is permitted only through Bimal Institute’s authorized website and applications. Any unauthorized access, including through third-party tools, systems, or interfaces, is prohibited. (b) No Redistribution or Sharing: You shall not copy, reproduce, distribute, transmit, share, or otherwise make available any content, materials, or resources obtained from the Platform to any third party without prior written consent. (c) No Commercial Use: You shall not sublicense, sell, rent, lease, license, or otherwise exploit the Platform or Services for any commercial purpose without express written authorization. (d) No Unauthorized Storage or Hosting: You shall not download, store, host, or replicate any portion of the Platform or its content on any external system, server, or device, except as expressly permitted for personal use through authorized means. (e) No Derivative Use: You shall not modify, adapt, translate, reverse engineer, or create derivative works based on any part of the Platform or its content. (f) No Misrepresentation of Content: You shall not present, reproduce, or use any content in a manner that misrepresents it as advisory, recommendation-based, or attributable to you or any third party. All content made available through the Platform, including educational materials, course content, videos, written materials, graphics, and other resources, constitutes proprietary intellectual property of Bimal Institute or its licensors.
7.3. Reservation of Rights: All rights, title, and interest in and to the Platform and Services, including intellectual property rights, trademarks, trade names, logos, software, educational materials, mentorship content, and guidance, are and shall remain the exclusive property of Bimal Institute and/or its licensors. Except for the limited license expressly granted herein, no other rights are granted to you, whether by implication, estoppel, or otherwise.
7.4. Termination of License: Bimal Institute may, at its sole discretion, suspend, restrict, or terminate your license to access or use the Platform at any time, with or without notice, in the event of: (a) breach of these Terms; (b) misuse or unauthorized use of the Platform or Services; (c) unauthorized sharing, reproduction, or distribution of content; or (d) non-payment of applicable fees. Upon termination, your right to access and use the Platform shall immediately cease, and you shall promptly delete or destroy any materials obtained from the Platform in your possession or control.
8.1. Intended Purpose: The Platform and Services are intended solely for personal, non-commercial, and educational use. Users shall access and use the Platform strictly in accordance with these Terms and in a manner consistent with its intended purpose as an educational and skill-development platform.
8.2. Restrictions on Use: Without limiting the generality of Clause 5, Users shall not: (a) use the Platform in any manner that is unlawful, misleading, or inconsistent with its educational nature; (b) reproduce, distribute, publicly display, or otherwise exploit any content or materials without prior written authorization; (c) use the Platform to share, promote, or disseminate trading calls, signals, or advisory content; (d) interfere with, disrupt, or attempt to gain unauthorized access to the Platform or its systems; (e) use automated tools, bots, scrapers, or similar technologies to access or extract data; or (f) use the Platform in any manner that may harm the integrity, security, or operation of the Services.
8.3. Enforcement Rights: Bimal Institute reserves the right, at its sole discretion and without prior notice, to monitor use of the Platform and take appropriate action in the event of any violation of these Terms or applicable law, including: (a) suspension or termination of access to the Platform; (b) removal or restriction of any content; (c) investigation of suspected violations; and (d) cooperation with regulatory authorities or law enforcement agencies.
9.1. Ownership of the Platform and Content: All rights, title, and interest in and to the Platform and its content, including but not limited to the website, applications, software, algorithms, APIs, educational materials, question banks, test modules, analytics, databases, design, layout, graphics, audio-visual content, videos, and all related materials (collectively, “Bimal Institute Materials”), together with all associated intellectual property rights, are and shall remain the exclusive property of Bimal Institute, its affiliates, or its licensors. Except for the limited rights expressly granted under these Terms, no rights, title, or interest in or to the Bimal Institute Materials are transferred, assigned, or licensed to you, whether by implication, estoppel, or otherwise.
9.2. Trademarks and Branding: “Bimal Institute” and all related names, logos, product names, service names, course names, and domain names are trademarks or proprietary identifiers of Bimal Institute or its licensors. You shall not use, reproduce, display, imitate, or exploit any such trademarks or branding without prior written authorization. Unauthorized use may constitute infringement or violation of applicable law.
9.3. User-Generated Content: (a) You retain ownership of all content you submit, upload, publish, or make available on or through the Platform, including but not limited to assignments, notes, reviews, comments, posts, messages, feedback, and other contributions (“User Content”). (b) By submitting User Content, you grant Bimal Institute a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, transferable, and sublicensable license to: i. Use, host, reproduce, store, modify, adapt, translate, publish, distribute, and display User Content in connection with the operation, promotion, and improvement of the Platform and Services; ii. Create derivative works from User Content for training, academic, research, analytics, and product development purposes; iii. Share User Content with Bimal Institute’s partners, faculty, affiliates, and vendors for operational, promotional, and educational purposes. (c) By providing User Content, you represent and warrant that: i. You are the lawful owner or valid licensee of the User Content; ii. The User Content does not infringe any third-party intellectual property, privacy, publicity, or proprietary rights; iii. You have all rights and authority necessary to grant the license described above.
9.4. Restrictions on Use: Without limiting any other provisions of these Terms, you shall not: i. Copy, reproduce, modify, adapt, translate, create derivative works, distribute, sell, rent, sublicense, publicly display, publicly perform, or otherwise exploit any Bimal Institute Materials, except as expressly permitted under these Terms; ii. Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or trade secrets underlying the Platform or its Services; iii. Remove, obscure, or alter any copyright, trademark, or proprietary rights notices on the Platform or Materials; iv. Use automated tools (including bots, spiders, crawlers, or scrapers) to access, extract, or copy Bimal Institute Materials without prior written authorization; v. Circumvent or attempt to bypass any digital rights management, access control, or security measures deployed on the Platform.
9.5. Third-Party Intellectual Property: (a) The Platform may include or integrate software, content, libraries, APIs, datasets, or other materials owned by third parties and licensed to Bimal Institute (“Third-Party Components”). (b) Use of Third-Party Components shall be subject to the applicable license terms of such third parties, which are incorporated herein by reference. (c) You agree not to remove, obscure, or modify any copyright, attribution, or proprietary notices relating to Third-Party Components. (d) Bimal Institute disclaims all liability in respect of any Third-Party Components, and your use of them shall be at your sole risk.
10.1. Collection and Use of Data: Bimal Institute collects, stores, processes, and uses personal and non-personal data in accordance with its Privacy Policy, which forms an integral part of these Terms. By accessing or using the Platform or Services, you consent to such collection, use, processing, storage, and disclosure of your data as described therein and as permitted under applicable law, including the Digital Personal Data Protection Act, 2023.
10.2. Consent and Acknowledgement: (a) Users acknowledge that Bimal Institute may process their personal information, academic information, demographic details, transaction history, communications, browsing activity, and location data for the purposes of: i. Delivering educational services and training programs; ii. Facilitating access to courses, lectures, study material, and events; iii. Enhancing the learning experience and customizing content; iv. Conducting analytics, research, surveys, and performance tracking; and v. Improving and promoting the Platform and related services. (b) By using the Platform, Users expressly consent to receiving communications from Bimal Institute, including but not limited to service-related notices, administrative alerts, reminders, feedback requests, and promotional materials. Users may opt out of marketing communications in accordance with the Privacy Policy, but service-related notices and essential communications are mandatory.
10.3. Data Sharing with Third Parties: (a) Bimal Institute may share User data with its affiliates, faculty, trainers, educational partners, payment processors, service providers, hosting partners, analytics providers, and other third parties strictly to the extent necessary for providing and improving the Services. (b) Bimal Institute shall not be responsible for the privacy practices, policies, or actions of such third parties once data has been lawfully shared. Users are encouraged to review the privacy policies of relevant third parties before engaging in any transaction or service facilitated by them.
10.4. User Responsibilities: Users shall ensure that all personal and academic information provided at the time of registration, enrollment, payments, or any interaction with the Platform is true, accurate, current, and complete. Bimal Institute shall not be liable for any consequence, error, or damage arising out of inaccurate, incomplete, false, or misleading information supplied by the User.
10.5. Security of Data: (a) Bimal Institute implements commercially reasonable administrative, organizational, technical, and physical safeguards to protect User data against unauthorized access, misuse, loss, alteration, or disclosure. (b) Notwithstanding the above, Users acknowledge that no method of electronic transmission or storage is completely secure. Accordingly, Bimal Institute does not guarantee absolute security of User data and disclaims liability for unauthorized access, data breaches, or security incidents beyond its reasonable control.
10.6. Retention and Deletion: User data shall be retained only for as long as is reasonably necessary to fulfill the purposes outlined in the Privacy Policy, or as required under applicable law, regulation, or contractual obligations. Upon termination of an account, withdrawal of consent, or completion of the services, Bimal Institute shall delete or anonymize personal data, unless retention is required for legal, regulatory, accounting, dispute resolution, fraud prevention, or legitimate business purposes.
10.7. Legal Disclosures: Bimal Institute may disclose User data without prior notice when such disclosure is required under applicable law, governmental authority direction, regulatory request, or court order, or where such disclosure is reasonably necessary to: i. Comply with legal or regulatory obligations; ii. Enforce these Terms or protect Bimal Institute’s rights and interests; iii. Detect, investigate, prevent, or address fraud, security breaches, academic misconduct, or technical issues; iv. Protect the rights, property, or safety of Bimal Institute, its faculty, staff, Users, or the public.
10.8. Third-Party Disclaimer: Users acknowledge and agree that Bimal Institute functions as an educational and facilitation platform. Once User data is shared with independent faculty, trainers, payment service providers, or other third parties for the delivery of services, Bimal Institute shall not be responsible for the manner in which such third parties handle or process the data. Any claim, dispute, or liability relating to data handling by third parties shall be addressed directly with the concerned third party.
11.1. The Platform may include or provide access to content, materials, references, advertisements, or resources made available by third parties (“Third-Party Content”). Such content is provided for informational and educational purposes only. Bimal Institute does not control, endorse, or make any representations or warranties regarding the accuracy, completeness, reliability, or legality of any Third-Party Content. Any reliance on such content is at the User’s sole discretion and risk.
11.2. The Platform may contain links to third-party websites, applications, or services. These links are provided solely for convenience and do not constitute any endorsement or recommendation. Bimal Institute is not responsible for the availability, content, functionality, or practices of such third-party platforms, and access to them is entirely at the User’s own risk.
11.3. Any interaction, transaction, or engagement between a User and any third party, including but not limited to service providers, event organizers, or partners, is solely between the User and such third party. Bimal Institute shall not be responsible or liable for any loss, damage, dispute, or claim arising out of or in connection with such interactions.
11.4. Third-party platforms and services may be governed by their own terms and privacy policies. Bimal Institute disclaims all responsibility for such terms, policies, or practices, and Users are advised to review them independently.
12.1. Service “As-Is”: The Platform and Services are provided on an “as-is” and “as-available” basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, accuracy, completeness, non-infringement, or uninterrupted availability.
12.2. Educational Nature and No Reliance: The Platform and Services, including all content, materials, sessions, communications, and resources, are provided strictly for educational and informational purposes only. Users expressly acknowledge and agree that: (a) Bimal Institute does not provide investment advice, trading recommendations, or financial guidance; (b) no content or material on the Platform is intended to be relied upon for making trading or investment decisions; (c) the Institute does not warrant the accuracy, completeness, or suitability of any information provided; and (d) all decisions taken by Users are at their sole discretion and risk.
12.3. Third-Party Content and Services: The Platform may include or provide access to content, materials, or resources made available by third parties (“Third-Party Services”). Bimal Institute acts solely as an educational platform and does not control, endorse, or guarantee: (a) the accuracy, reliability, quality, or suitability of any Third-Party Services or content; (b) the availability or continued accessibility of such services; or (c) any outcome, result, or performance arising from the use of such content or services. Any interaction with or reliance upon Third-Party Services is at the User’s sole risk.
12.4. No Warranty as to Outcomes: Bimal Institute does not guarantee any specific outcomes, including but not limited to learning results, trading performance, or financial returns. Any examples, illustrations, or strategies discussed on the Platform are purely demonstrative and may not reflect actual or future results.
12.5. Exclusion of Damages: To the fullest extent permitted by applicable law, Bimal Institute shall not be liable for any any: (a) indirect, incidental, special, consequential, punitive, or exemplary damages; (b) loss of profits, revenues, goodwill, or anticipated savings; (c) loss, corruption, or unauthorized access to data; (d) interruptions, delays, system failures, or unavailability of the Platform; or (e) loss or damage arising out of or in connection with the use of, or reliance on, the Platform or Services.
12.6. Cap on Liability: To the maximum extent permitted under applicable law, Bimal Institute’s total aggregate liability arising out of or in connection with these Terms or use of the Platform shall not exceed the total amount paid by the User to Bimal Institute in the three (3) months immediately preceding the event giving rise to the claim.
12.7. Jurisdictional Limitations: Where applicable law does not permit the exclusion or limitation of certain warranties or liabilities, such exclusions or limitations shall apply to the maximum extent permitted under such law.
13.1. User Indemnification: The User agrees to indemnify, defend, and hold harmless Bimal Institute, its affiliates, officers, directors, employees, agents, service providers, and representatives from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) the User’s access to or use of the Platform or Services; (b) any breach of these Terms or violation of applicable law or regulation; (c) any infringement, misappropriation, or violation of intellectual property, privacy, or other rights of any third party; (d) any content submitted, posted, or transmitted by the User; (e) any reliance placed by the User on the Platform or its content, or any decisions taken based thereon; or (f) any interaction, transaction, or dispute between the User and any third party, including instructors, service providers, or partners.
13.2. Notice & Defence: Bimal Institute shall provide reasonable notice of any claim subject to indemnification. The User shall assume control of the defence and settlement of such claim, provided that: (a) Bimal Institute may participate in the defence with counsel of its choice at its own expense; and (b) the User shall not settle any claim in a manner that imposes liability, obligations, or admissions on Bimal Institute without its prior written consent.
13.3. Survival: The indemnity obligations under this clause shall survive termination or expiry of these Terms and the User’s use of the Platform.
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent. If such modification is not possible, the provision shall be deemed severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, and the remaining provisions shall continue in full force and effect.
15.1. No waiver of any provision of these Terms or any breach thereof shall be effective unless made in writing and signed by the party against whom the waiver is sought to be enforced. No waiver shall be deemed a waiver of any other provision or breach, nor shall it constitute a continuing waiver unless expressly stated.
15.2. The failure of either party to enforce any provision of these Terms or to exercise any right hereunder shall not constitute a waiver of such provision or right or any other provision or right. Any waiver must specifically identify the provision being waived and the circumstances to which the waiver applies.
16.1. The original language of these Terms is English. Any translation provided is for convenience only and has no legal effect. In case of any conflict between the English version and any translation, the English version shall prevail and control in all respects.
16.2. Users who do not understand English are advised to seek independent assistance before accepting these Terms. Bimal Institute shall not be liable for any misunderstanding arising from translation or interpretation.
17.1. Users shall not use the Platform or educational content in any manner that infringes the rights of Bimal Institute or any third party. Bimal Institute reserves the right to terminate the accounts of Users who repeatedly engage in copyright infringement.

17.3. The notification should include, whenever possible: (a) An electronic or physical signature of the owner or authorized representative of the copyright; (b) A description of the copyrighted work; (c) A description of where the allegedly infringing material is located; (d) A statement of good-faith belief that the use is unauthorized; (e) A statement, under penalty of perjury, that the information in the notice is accurate and the sender is authorized.
17.4. Bimal Institute may request additional information before removing content. If a dispute arises, the Institute reserves the right to remove the content of the alleged infringer pending resolution.
In the event of any conflict between these Terms and any other written agreement between the parties, the terms of the other agreement shall prevail only to the extent of such conflict.
19.1. Governing Law: These Terms, and any dispute arising out of or in connection with them, the Platform, or Bimal Institute services, shall be governed by the laws of India.
19.2. Jurisdiction: Subject to Clause 19.3, the courts at Indore, Madhya Pradesh, shall have exclusive jurisdiction over all disputes arising out of or in connection with these Terms.
19.3. Arbitration: (a) Disputes shall be referred to and resolved by arbitration under the Arbitration and Conciliation Act, 1996. (b) The arbitration shall be conducted by a sole arbitrator mutually appointed. If the parties cannot agree within 30 days, the arbitrator shall be appointed in accordance with the Act. (c) The seat and venue of arbitration shall be Indore, India. The language shall be English. (d) The arbitral award shall be final, binding, and enforceable.
19.4. Interim Relief: Nothing in this Clause shall prevent Bimal Institute from seeking interim or injunctive relief from any court of competent jurisdiction.
19.5. Waiver of Objections: By using the Platform, you submit to the exclusive jurisdiction of the courts specified above and waive any objection on grounds of inconvenience or improper venue.
20.1. Force Majeure Events: Bimal Institute shall not be liable for any failure, delay, or disruption caused by events beyond its reasonable control, including natural disasters, pandemics, industrial actions, terrorism, government orders, third-party failures, or internet/network disruptions.
20.2. Planned Downtime: Bimal Institute may schedule maintenance or upgrades. Such downtime will be scheduled during off-peak hours and notified at least 24 hours in advance only to the extent commercially possible.
20.3. Internet, Network, and Third-Party Reliance: Users acknowledge that access to the Platform may be subject to internet or third-party limitations, delays, or interruptions, and Bimal Institute is not liable for such issues.
20.4. Mitigation Efforts: Bimal Institute will make reasonable efforts to mitigate Force Majeure impacts and restore services as quickly as practicable.
These Terms, together with the Privacy Policy and any other policies or guidelines referenced herein, constitute the entire agreement between the User and Bimal Institute with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether written or oral.
